Change of director

When the company’s manager changes, the change must be registered with the Centre of Registers — until then, the old manager is still considered the manager towards third parties. We prepare the decisions and register the new manager within days.

What we do

  • We prepare the shareholders’ (members’) decision to remove the manager and appoint a new one
  • We prepare the employment contract with the new manager or, for an MB, a civil services contract
  • We file the changes with the Centre of Registers and notify Sodra
  • We advise on the dismissal of the old manager, the handover act and liability
  • On request — we update the data at banks, the tax authority and other institutions

What we need

Three things to prepare

New manager’s details

Name, surname, personal code, declared place of residence and an electronic signature. A foreign manager is possible — we help with their documents too.

Company documents

Extract from the Centre of Registers, articles and the list of shareholders (members). If the articles provide for a board, the board appoints the manager.

Dates

From when the old manager is removed and the new one appointed. The change must be registered without delay — a fine may apply for late filing.

How it works

A change in three steps

01

Decision

We prepare the shareholders’ (members’) or board decision and, if needed, the new manager’s consent and employment contract.

02

Registration

We file the documents with the Centre of Registers online. The change is usually registered within 1–3 working days.

03

Handover

We prepare the handover act for affairs and documents and update the data at banks and institutions.
