Amendment of articles of association
Articles of association are amended when the company’s activity, governance, capital or participants change. We prepare the new version of the articles or the share capital increase documents and register the changes with the Centre of Registers.
The most common reasons
- The name, registered office or business activities change
- The share capital is increased or reduced
- The governance structure changes: a board is created or abolished, the manager’s powers change
- The nominal value, classes or transfer rules of shares change
- The articles no longer comply with amended legislation

Information to provide
For amending the articles
- Extract from the Centre of Registers
- Current articles of association
- Information about the planned amendments
- Shareholder (member) details to draw up the decision
For a share capital increase
- Company name and manager details
- List of shareholders: number of shares, percentage, nominal value
- The amount to which the capital is increased
- Method: additional contributions, retained profit or assets (then a valuation is needed)
Three typical situations
Transport licence
Hauliers must prove financial standing — EUR 9,000 for the first vehicle. The most common reason for a capital increase.
Investor or partner
A new shareholder contributes funds and receives newly issued shares — we prepare the decisions and share subscription agreements.
Credibility
Higher capital helps in tenders and in negotiations with banks and suppliers.
